Before using the Goodtrack Software ("Software" or "Platform"), as well as the services associated with it, it is essential to read this contract carefully. By accepting this Terms of Use, the User, both as a natural person and as a legal entity, agrees and undertakes to adhere to all the terms and conditions established herein. In case of disagreement, refrain from using the Platform and the Services offered by GOODTRACK TECNOLOGIA LTDA. ("Contractor" and/or "Goodtrack").

This Terms of Use Contract formalizes the complete agreement between the User and the Contractor, GOODTRACK TECNOLOGIA LTDA, a private legal entity, duly registered under CNPJ No. 57.516.477/0001-41. The Contractor is the sole owner of the intellectual property rights and the holder of the rights over the Goodtrack Software, granting the Customer, by means of this document, the license to use it. This contract defines the scope of the relationship between the parties, and the Customer states that they have read, understood, and accepted all the conditions presented in this agreement.

CLAUSE ONE – SUBJECT MATTER

1.1. This document defines the terms and conditions under which the Customer is granted the right to use the Goodtrack Services, by means of a revocable, non-exclusive, and non-transferable license. The Goodtrack Privacy Policy and Cookie Policy, which can be accessed on the Platform, form an integral and complementary part of these Terms.

CLAUSE TWO – THE PLATFORM AND THE SERVICES

2.1. The Goodtrack platform is Software as a Service (SaaS), designed to offer Users a precise identification of the origins of sales in paid traffic campaigns on different platforms, which allows efficient and facilitated data collection, intended to optimize marketing strategies by scaling profitable campaigns and deactivating those that generate losses, resulting in more efficient management, time savings, and increased profitability.

2.2. The Goodtrack platform provides various essential functionalities, according to the contracting Plan chosen by the User, among others that may be introduced in the future. They currently include: (a) the consolidation of data from multiple operations and sales platforms, allowing a unified view; (b) precise identification of the origin of sales by campaign; (c) direct optimization of campaigns from Goodtrack reports, eliminating the need to use external managers; (d) the ability to duplicate campaigns to different ad accounts; and (e) implementation of rules for the automatic optimization of campaigns, aiming at efficiency and increased performance.

2.3. The functionality and effectiveness of the services made available by the Goodtrack platform depend on the collection of information and on communication with a variety of external applications and platforms. This includes, but is not limited to, social networks, payment processing systems, payment gateways, affiliate platforms, among other systems. These integrations are carried out technically through webhooks, APIs, and other connection technologies, allowing Goodtrack to access and synchronize the data necessary for the optimization of the Users' digital marketing campaigns, ensuring effective and informed traffic management.

2.4. The Goodtrack platform will be accessible to the User 24:00 (twenty-four) hours a day, 07 (seven) days a week. However, the availability of the service may be temporarily suspended by the Contractor under certain conditions, to ensure the quality and security of the service offered, in cases such as, but not limited to:

  • Scheduled preventive maintenance, for which Users will be notified at least 02 (two) days in advance, specifying the date and time planned for the interruption;
  • Emergency maintenance necessary due to unexpected technical failures that compromise the functioning of the Platform;
  • Significant updates to the software or hardware linked to the Platform, aiming to improve functionalities or correct security vulnerabilities, with prior communication whenever possible;
  • Cybersecurity incidents, such as denial-of-service attacks (DDoS) or suspected intrusion, which require immediate intervention to protect Users' data and the integrity of the platform;
  • Significant network infrastructure problems or failures of third-party services that are critical to the functioning of Goodtrack;
  • Legal or judicial requests that require the temporary suspension of the services or the analysis of specific data;
  • Events outside the Contractor's control, including but not limited to events caused by actions or omissions of the User, events resulting from failures of hardware, software, or other technologies used by the User and, finally, any act or fact that constitutes fortuitous event or force majeure, pursuant to art. 393 of the Civil Code.

2.5. In all these situations, the Contractor undertakes to reduce the interruption time to a minimum and to communicate with Users in advance whenever possible, explaining the reasons for the suspension and the estimated time for resolution.

2.6. The Contractor will not be responsible for any losses or damages caused to the User or to third parties due to the temporary unavailability of the platform, when this is associated with the situations outlined in Clause 2.4 of this instrument.

2.7. The Contractor undertakes to provide the User with all new versions, updates, improvements, and any implementations of the services and functionalities included in the contracted plan. Additionally, the Contractor is responsible for offering technical support to the User for the entire term of the contract.

2.8. Technical support is available from 8:00 to 18:00, according to Brasília time, Monday to Friday, excluding holidays, by means of the email [EMAIL], at no extra cost. All technical questions or problems reported will be handled in order of arrival, with priority service granted to users subscribed to plans that include this benefit.

2.9. The Contractor does not ensure the resolution of all of the User's questions and requests, nor the solution of all problems, in a single interaction or within a specific time limit. However, it undertakes to provide the service as requested by the User.

2.10. Neither party will be responsible for lost profits, direct, indirect, special, incidental, consequential damages, or any other losses suffered by the other party. In particular, the Contractor will not be responsible for losses or damages suffered by the User due to:

  • Decisions made based on information provided on the Platform, originating from third parties;
  • Operational or server failures that are not directly attributable to the Contractor;
  • Interruptions in the provision of the services arising from the conditions previously stipulated in the Clause referred to as Item 2.4;

2.11. The Contractor will under no circumstances be responsible for damages or losses of any nature arising from access, interception, deletion, alteration, or manipulation of files and communications by unauthorized third parties or by the User themselves, which the Contractor did not cause. This includes data stored, transmitted, or made available through the contracted services.

2.12. The Contractor assumes no responsibility for any errors or failures resulting from the inadequate functioning of third-party platforms with which it integrates, such as, but not limited to:

  • Discrepancies in the permissions of the accounts linked to Goodtrack, which may cause errors in duplication;
  • Possible instabilities originating from the third-party platforms themselves;
  • Updates or changes to the integration protocols of third-party platforms that may affect communication or the functionality of Goodtrack;
  • Delays or failures in data transmission due to overload on the servers of third-party platforms;
  • Incorrect or incomplete information provided by third-party platforms due to errors in their own systems;
  • Temporary unavailability of resources or functionalities of third-party platforms by virtue of legal, regulatory, or internal policy restrictions of those entities.

2.13. The Contractor will not be responsible for incorrect data or unsatisfactory results caused by the User's poor configuration of its tools. It is imperative that Users ensure the correct configuration and use of the Platform, according to the instructions provided by it, to ensure the accuracy of the data received and the expected performance of the services.

2.14. The User is aware of the obligation and undertakes to notify the Contractor immediately in the event of suspected security breach or unauthorized use of their account, it being their sole and exclusive responsibility to create a secure password at the time of registration and to maintain the confidentiality and proper use of it, as well as of the Platform. The Contractor assumes no responsibility for misuse of the User's password by third parties.

2.15. The Contractor will not be responsible for damages or losses suffered by the Customer associated with corruption, inadequate processing, or loss of data, failures in the transmission or receipt of information, resulting from or related to the inadequate use or inability to use the Platform.

CLAUSE THREE – PLANS AND MIGRATIONS

3.1. As consideration for the licensing and services provided, the User will make payment to the Contractor according to the price table in force at the time of contracting for the plan selected on the Platform. Payments will be made in advance, according to the "pay to use" model, and according to the periodicity available on the platform and chosen by the User.

3.2. Currently, the plans offered are: (a) Gratuito; (b) Premium; (c) Avançado; (d) Monster. The Contractor reserves the right to modify, at any time, the composition and the functionalities of the plans, always respecting the other clauses of these Terms of Use. Changes to the plans will be applied to the User only after the end of the current cycle of their current plan. In case of disagreement with the proposed changes, the User has the right to cancel the plan and terminate the contract.

3.2.1 Each plan made available by the Goodtrack Platform is delimited by a maximum number of sales approved monthly, within which no extra charges will be applied. If the number of sales exceeds the limit established for the contracted plan, an additional fee per excess sale will apply, as detailed in the description of each available plan. The amount due for sales that exceed the limit will be calculated at the end of each month and must be paid in the subsequent billing cycle.

3.2.2. In addition to the number of sales per month, each plan has a specific linking limit:

  • Ad accounts;
  • Webhooks;
  • Dashboards;
  • Scheduled rules.

The User who wishes to expand the quantity of these items must choose to contract a higher plan. Only the plan of the highest category, called Monster, offers unlimited quantities of the listed resources.

3.3. The payment method will be exclusively by credit card, and the Contractor may make new payment methods available at any time.

3.4. By choosing payment by credit card, the User authorizes the Contractor to make the automatic charge for renewal of the plan, following the amount and the periodicity agreed. The charge of subsequent installments will be made on the same date of the month as the first charge, adjusting to the last day of the month when the initial date occurs on day 29, 30, or 31, and those days are not present in the following month of the calendar year.

3.5. In the event discounts or benefits are granted by Goodtrack to the User for the contracting of services and/or access to the platform, such promotional discounts:

  • Are not cumulative;
  • Will be exclusive to the plans and periodicities to which they refer;
  • Have a validity period as informed by Goodtrack to the User when the discount offer is made;
  • May lose their validity if the User reduces the services, the functionalities, or the Plan originally contracted.

3.6. The prices of continuous services will be adjusted annually, or at the shortest periodicity permitted by law, automatically, based on the positive variation of the IPCA, or of another index that replaces it. The base date for the annual adjustments will be the start date of the first paid plan contracted by the User, and there will be no price adjustment for the period in which the adjustment index presents a negative variation.

3.7. The Contractor reserves the right to modify the prices of the plans at any time, notifying the User at least 30 (thirty) days in advance, the User being free to cancel the plan in case of disagreement with the increase of that amount, which will only be applied after the end of the current payment cycle.

3.8. Non-payment of the agreed consideration will result in a penalty of 2% (two percent), for delay, plus default interest of 1% (one percent) per month.

3.9. The User will remain responsible for payment on the due date, even if delays occur, for any reason, or the credit card is unlinked on the platform, until the payment date, and must contact by email to inform what occurred and make the payment promptly.

3.10. In the event of default by the User, the Contractor may choose, at its sole discretion and mere liberality, to terminate this contract, or suspend the access license, as well as partial or total suspension of the contracted services, and such access and services may be restored within 24 hours after payment.

3.11. In the case of temporary suspension of the services due to the User's default, the Contractor may still receive data from third-party platforms. If the default is resolved within a period of up to 30 days, access to the services will be restored and the data kept. However, if the pending issue is not regularized after 30 days, the Contractor reserves the right to delete all of the User's data and cease receiving new information from third-party platforms.

3.12. Any cancellation or reduction of the Plan, services, and functionalities contracted, before the end of the contracted term, will not result in the refund of amounts paid in advance, or reduction/offset of the amounts to be paid by reason of the User's request, and access to the platform and to the contracted service will be made available to the User until the date scheduled for the end of the Plan.

CLAUSE FOUR – USER OBLIGATIONS

4.1. The User acknowledges that access to the Services offered by Goodtrack depends on an internet connection, and is responsible for the acquisition and maintenance of the necessary equipment, as well as for the connection services and technical configurations required for access and proper functioning of the Platform, including any failures of their own devices or of their internet connection.

4.2. The User affirms and declares that their data and financial and identification information entered by them on the Platform are authentic and accurate, being fully responsible for the truthfulness and updating of such data, including the maintenance of a valid email address under their ownership.

4.3. The security of the Access Data to the Platform is the exclusive responsibility of the User, who must contact the Contractor without delay if there is any suspicion of a security breach, without prejudice to changing their passwords promptly as a security measure.

4.4. The User is expressly prohibited from:

  • Using the Platform for purposes other than those established in these Terms, infringing applicable laws, property rights, acceptable standards of conduct, intellectual rights, privacy rights, or that relates to the disclosure of illegal, immoral, or offensive content;

  • Compromising the security of the Platform with practices such as exploitation of vulnerabilities, spamming, flooding, spoofing, system crashing, or introduction of rootkits;
  • Carrying out reverse engineering of the components of the Platform;
  • Disseminating or transmitting files that contain viruses or any other harmful element that may affect the functionality of the Platform.

4.5. The Contractor reserves the right, at its sole discretion:

  • To terminate, modify, or suspend the User's access to their account, in the event any violation of the conditions of these Terms or of the law is found;
  • To delete information entered by the User that is not in accordance with the guidelines of the Terms of Use and/or the Privacy Policy;
  • To deactivate access to data, information, and/or content that violate the provisions of this contract;

4.6. The User agrees to indemnify, defend, and hold harmless the Contractor and its associated entities from any liabilities, costs, losses, or claims, including attorneys' fees and court expenses, that arise from misuse of the Platform or from any breach of the terms of this contract.

4.7. The User declares that they will use the Platform exclusively for the management of their professional activity, according to the possibilities and functionalities expressed in this contract, assuming for themselves the responsibility for any results, positive or negative, arising from it.

Renewal of the chosen plan will occur automatically when its term ends, unless there is a prior and express manifestation by the User of the intention not to renew it, which must be communicated to the Contractor up to 1 (one) business day before the end/renewal of the current plan, by cancellation on the platform itself. Cancellation becomes effective immediately after the end of the current billing cycle of the chosen plan.

5.4. The Customer's information will be deleted from the Contractor's database after 60 (sixty) days counted from the end of the present relationship, unless it must be kept in custody by the Contractor by legal obligation, as well as by request of a competent authority or body.

5.5. In the event of a request for termination by the Customer during a payment cycle, the present terms will continue to be valid and effective until the end of the period covered by the last installment paid, guaranteeing the Customer access to the services until the end of that period, being canceled automatically only at the end of the period, in which case no amounts paid in advance will be returned, on any grounds.

5.6. The Contractor may, at any time and by mere liberality, upon prior and express notice 15 (fifteen) days in advance, terminate the contract without the application of any penalty, obligation of any payment, or any other claims by the User, except for the return of the amounts paid in advance by the Customer, in proportion corresponding to the remaining period of the contracted term.

5.7. Without prejudice to the other obligations and responsibilities described in this contract, the present relationship may be terminated, by either party and at any time, upon mere prior written notice, in the event that:

  • non-payment of the agreed amounts within the time, in the amount, and in the manner provided is verified;
  • the impossibility of fulfilling the contractual obligations due to fortuitous events or force majeure that extend for more than 30 (thirty) days is verified, without compensation obligations on the part of either party;

5.8. If any of the conditions set out above is observed, as an alternative to termination of the contract, the Contractor may choose temporary suspension of the services, until the User remedies the problem, instead of termination of the contract.

5.9. Termination of this Contract will not affect the Contractor's right to take the appropriate measures for the collection of any pending debts, linked to and arising from the present relationship;

9.3. Any communication by email or exchange of messages on different media or platforms, relating to the validations necessary for the provision of the contracted services, will be considered an integral part of this contract. In the event of a discrepancy between the terms of these documents and the present contract, except with respect to technical details, the provisions contained herein will prevail.

9.4. The User affirms that they are a natural or legal person with full civil capacity, over 18 years of age, adhering to this contract with full knowledge of its content and of the entire service offered and the license made available by the Contractor, considering the contracting fair, adequate, and equitable, and assures that they have the due authority and power to enter into said commitment.

Therefore the User has technical knowledge in the use of platforms linked to payment gateways, social media, and ad managers, among others, so that they recognize that the product and/or service contracted serves as an auxiliary tool in their final professional practice. Accordingly, this relationship does not constitute a consumer relationship, since the User does not position themselves as the final recipient of the product or service.

9.10. The User admits knowledge of and agrees that the present Terms of Use may at any time be modified unilaterally by the Contractor, at its exclusive discretion, and the User's acceptance of new Terms of Use results in being bound by them, in all their terms and conditions. 9.12. The courts of the judicial district of São Paulo – SP are elected as the competent forum to settle any doubts or conflicts arising from the present contract, to the exclusion of all others, however privileged they may be or come to be.
